These Terms and Conditions contain important provisions, including a binding arbitration clause and class action waiver, which affect your legal rights. By creating an account or using the Service, you agree to these Terms.

1. Agreement to Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("you" or "User") and Gadsly LLC, doing business as Proper Strides ("Proper Strides," "we," "us," or "our"), governing your access to and use of our website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Users between 13 and the age of majority may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on their behalf. The Service is not directed to children under 13, and we do not knowingly permit children under 13 to use it.

By using the Service, you represent that you meet these requirements, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under applicable law.

4. Subscriptions, Free Trials, and Billing

Subscription Plans

Proper Strides is offered as a paid subscription. Current plans, pricing, and features are described on our pricing page and may change from time to time. We will give you notice of any material change to pricing or features before it applies to your subscription.

Free Trial

We may offer a free trial period for new users. If you do not cancel before the end of the free trial, your subscription will convert to a paid subscription and you will be charged the then-current subscription fee. You are responsible for reviewing the free trial terms at the time you sign up.

Billing and Renewal

Cancellation

You can cancel your subscription at any time from within the app or by contacting support. Cancellation takes effect at the end of the current billing period — you will continue to have access to paid features until then, and you will not be charged for the next cycle.

Refunds

Except where required by law, all payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused features, or unused time. Subscriptions purchased through the Apple App Store or Google Play Store are governed by the refund policies of those platforms.

5. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use related to horse ownership, care, training, or equine professional services.

7. Your Content

Ownership

You retain ownership of all content you submit to the Service, including horse records, photos, notes, ride logs, and other information ("Your Content").

License to Us

You grant Proper Strides a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), transmit, and display Your Content solely to operate, maintain, and improve the Service, provide it to you and to collaborators you authorize, and comply with legal obligations. This license ends when you delete Your Content or close your account, except for copies retained in backup systems for a reasonable period and any content shared with collaborators under the access you granted.

Your Responsibilities

8. Collaboration and Sharing

The Service allows you to invite and share barns, horses, and records with riders, barn hands, vets, farriers, trainers, and other collaborators. When you invite a collaborator, you are responsible for choosing appropriate access levels. Collaborators you invite will have access to the information you share with them until you revoke that access. We are not responsible for how collaborators use information you have chosen to share with them.

9. Equibot and AI Features

Not Veterinary or Professional Advice

Equibot and any AI-generated guidance provided through the Service are informational only and are not a substitute for professional veterinary, farrier, training, or other equine-professional advice. Always consult a qualified professional for medical, lameness, tack-fitment, or other decisions concerning your horse's health or welfare. In an emergency, contact your veterinarian immediately.

AI-generated responses can be incomplete, inaccurate, or out of date. You are responsible for evaluating the suitability of any AI output before acting on it. Proper Strides makes no guarantee about the accuracy or completeness of AI output and disclaims liability for decisions made in reliance on it.

10. GPS, Location, and Activity Tracking

GPS and activity-tracking features rely on your device's location services and network connectivity. Accuracy may vary, and we do not guarantee uninterrupted or error-free tracking. You are solely responsible for your safety and the safety of your horse during any activity. Do not rely on the Service for emergency location or navigation.

11. Professional Add-On

Users who subscribe to the Professional add-on (for example, vets, farriers, trainers, dentists) may access additional features for managing clients and appointments. Use of the Professional add-on is subject to these Terms, any additional terms we publish for that tier, and all applicable laws governing your profession. You are solely responsible for your professional conduct and the services you provide to your clients. Proper Strides is a tool — we are not a party to any agreement between you and your clients.

12. Intellectual Property

The Service, including its software, design, logos, trademarks, content we provide, and all related intellectual property, is owned by Proper Strides or our licensors and is protected by applicable laws. Except for the limited license granted to you in these Terms, nothing in these Terms transfers any right or interest in our intellectual property to you. "Proper Strides," "Equibot," the Proper Strides logo, and related names and marks are trademarks of Gadsly LLC.

13. Feedback

If you submit suggestions, ideas, or feedback about the Service, you agree that we may use them for any purpose without obligation or compensation to you.

14. Third-Party Services

The Service may integrate with, link to, or rely on third-party services (for example, payment processors, map providers, SMS carriers, cloud hosts, and AI providers). We are not responsible for third-party services and your use of them is subject to those third parties' terms and policies.

15. SMS and Electronic Communications

By creating an account, you agree that we may communicate with you electronically, including by email, push notification, or SMS, for service-related messages such as account verification, two-factor authentication codes, security alerts, and billing notifications. SMS messaging is also governed by our Privacy Policy. Message and data rates may apply. You may reply STOP to opt out of non-essential SMS messages.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPER STRIDES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED OUTPUT AND GPS DATA. YOU USE THE SERVICE AT YOUR OWN RISK.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPER STRIDES OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless Gadsly LLC, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

19. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Service and other users. On termination, your right to use the Service ends, and we may delete Your Content after a reasonable period, except as required to comply with legal obligations. Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the arbitration provision below, any dispute that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

21. Dispute Resolution; Binding Arbitration; Class Action Waiver

This section requires you to resolve disputes with Proper Strides individually through binding arbitration, and limits your ability to participate in class actions, class arbitrations, or representative actions.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@properstrides.com. If we are unable to resolve the dispute within 60 days, either party may pursue arbitration.

Binding arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or the Service, except as otherwise provided below, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English and, unless otherwise agreed, in the U.S. county where you reside. The arbitrator's award will be final and binding.

Class action waiver. You and Proper Strides agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

Exceptions. Either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property. Either party may also pursue claims in small-claims court if the claim qualifies.

Opt-out. You may opt out of this arbitration agreement by sending written notice to support@properstrides.com within 30 days of first accepting these Terms, stating your name, address, and intent to opt out.

22. Changes to the Service and These Terms

We may modify, suspend, or discontinue the Service or any part of it at any time. We may update these Terms from time to time. If we make material changes, we will provide notice by email, in-app notice, or by updating the "Last Updated" date at the top of this page, and we will provide reasonable advance notice where required by law. Your continued use of the Service after an update constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
